Today, that emerging technology is machine learning, and especially the subset known as artificial intelligence (AI). While machine learning is not new, both the evolution of the technology and its adoption within products is speeding up considerably. Paired with increasingly user-friendly and user-accessible generative AI interfaces, businesses of all types and sizes are suddenly faced with a pressing need to balance the opportunities and risks these tools present. Legislation and other regulation is expected to come quickly from multiple jurisdictions and regulatory authorities, further complicating businesses’ view of these technologies.

AI Governance Programs

We help clients build AI governance programs from the ground up. That includes standing up internal AI governance steering committees, designing the frameworks and intake processes that bring legal and business teams together, and putting structures in place that turn high-level AI principles into repeatable, day-to-day practice. Our goal is governance that is practical and scalable, built to support innovation rather than slow it down.

Policies & Internal Controls

We draft and operationalize the policies that govern how AI is used inside an organization, including enterprise AI use policies and guidelines covering employee and contractor use of AI and machine learning tools. We work closely with internal teams to balance the many competing considerations these tools raise and to keep policies aligned with a rapidly evolving regulatory landscape.

Risk Assessments & Use-Case Review

We develop customized AI risk-assessment questionnaires, checklists, and toolkits that allow business stakeholders to spot legal, ethical, and operational issues early, before a tool is deployed. We routinely assess whether a proposed AI use case triggers compliance obligations under emerging AI-specific laws, helping clients make informed decisions and prioritize where attention is needed most.

Vendor Management & Contracts

We negotiate the agreements that put AI to work, including AI-specific contract terms, customized AI addenda for vendor agreements, and data licensing and sharing arrangements. We advise on securing the rights to use data to train models, ownership of model outputs, and the responsibilities and obligations of third-party providers, including in sensitive contexts such as biometric and health data.

Disclosures & Consumer Transparency

As AI increasingly interacts directly with consumers, how its use is disclosed matters. We advise on disclosures for AI chatbots and other consumer-facing tools, helping clients meet requirements under U.S. and global AI laws and guidance while communicating with consumers in a way that is clear, compliant, and friendly.

Advertising & Marketing of AI

We bring decades of advertising experience to the unique challenges of marketing AI products. We advise on the substantiation of performance-related claims unique to AI systems, account for the variability of AI outputs, navigate third-party intellectual property concerns, and review ad content across broadcast, digital, and social placements, helping clients launch bold, market-defining campaigns on a sound legal footing.

Intellectual Property

The use of AI to create, train on, and generate content raises significant intellectual property and trade secret questions. We advise clients on how to use AI responsibly in content creation, how to protect their IP and confidential information, and how to contract with third parties who may use AI when working with client IP and data.
